One Calls of America Bylaws

The initiation fee for the AT&T program is equal to twenty-five percent of the calculated savings
of the previous twelve month's costs.

Attendance at meetings is mandatory.

New members continuing to use an outside carrier must agree to pay the initiation charges.

OCOA must be informed of any guests attending meetings one month before the scheduled meeting date.
Guests must pay a $100 fee to cover the costs of meals and meeting space. Guests are allowed to
attend one meeting before joining the group. Invitations for prospective member centers will be
sent to the Executive Directors only.

OCOA will maintain a focus on cost saving features, by working to expand the vendor list and
setting up committees to screen companies to quote on the business of OCOA.

Membership meetings are for Executive Directors and personnel directly involved with day to day call
center operations.

OCOA's Board of Directors will be comprised of call centers of various sizes. It is up to the discretion
of the Nominating Committee to determine these members.

Voting and motioning rights are reserved for member centers only and only if participating in OCOA
programs that are being called to a vote.

OCOA Board of Directors and Officers will hold meetings quarterly.

The Committee chairs should provide a written report to the Board regarding their presentation for the
meeting at least 30 days prior to the meeting date. OCOA administrative staff will send out a reminder
to the chairperson.

All Committees will designate one person to present a report at each of the semi-annual membership
meetings.

General membership meetings will be held semi-annually. The first of these meetings will be held in April
and the second of these meetings will be held in October.

Members of the AT&T program not participating in the ACH program will deposit the amount of their average
month's bill into the AT&T account to be used as a cushion for prompt payment. This amount will be
calculated by OCOA. These funds will not be considered payment of a bill if it becomes necessary to use
these funds. The bill will be considered unpaid until the funds are replaced into the account.

Past Presidents are to be recognized with a plaque, and a gift valuing $200 to be presented to the outgoing
OCOA president at the annual membership meeting of the one call center he represents.

Officers are to be recognized with a plaque to be presented to their respective boards on their behalf. -
Any administered program representative who attends the meetings once their programs are established and
functioning, will be charged for the food costs to reimbursement OCOA. If OCOA invites someone to present
a program to the membership, OCOA will cover the cost of their meals.

If OCOA invites someone to present a program to the membership, or invtes a guest, there will be a $100.00 charge per person to cover the cost of their meals. -
All members are permitted to bring 1 guest to meetings at no charge, additional guests will be charged
at $100 per person to cover meeting and food expenses.

All attendees at an OCOA general membership meeting will be charged a $100 registration fee for each meeting. -
Health participants will be billed an Initiation Fee, based on the participant's portion of expenses,
similar to the Telecommunications participants. This is scheduled to being the beginning of 2002, based
on the 2001 year data.
